  1. Introduction
    1. Welcome to Managewise Ltd, a company registered in England with company number 15842527, located at 7 Bell Yard, London, WC2A 2JR, UK. Managewise provides a workforce and business management platform, including but not limited to timesheets, payroll integrations, communication, automation, and reporting features (the "Services").
    2. These Terms and Conditions (the "Agreement") govern the relationship between Managewise Ltd ("we", "us", or "our") and users of our website, mobile application, and services ("you", "your" or "user").
    3. By using Managewise’s platform and services, you agree to abide by these terms and conditions. If you do not agree, you must stop using the services immediately.
  2. User Responsibilities
    1. By using our platform, you agree to:
      • Provide accurate and complete information when creating an account.
      • Keep login credentials secure and report unauthorised access.
      • Use the platform responsibly and legally, without engaging in harmful activities.
    2. Users must not:
      • Use the platform for fraud, identity theft, or illegal activities.
      • Violate intellectual property rights of Managewise or third-party services.
      • Hack, breach, or disrupt security systems or platform functionality.
  3. Account Information
    1. Account Creation & Maintenance
      • Users must register an account to access core platform features.
      • The account holder is responsible for all activity under their account.
    2. Security & Unauthorised Access
      • If you suspect unauthorised access, you must notify us immediately at support@managewise.co.uk.
  4. Payments and Subscriptions
    1. Subscription Model & Billing
      • Managewise operates on a subscription-based model (monthly or annual plans).
      • Subscriptions are billed automatically via Stripe.
    2. Free Trial Period
      • New customers receive a 14-day free trial before billing starts.
      • If you do not cancel before the trial ends, the first payment is processed automatically on Day 15.
    3. Automatic Payments & Renewals
      • Monthly and annual subscriptions renew automatically unless cancelled.
      • Users must ensure sufficient funds in their payment method.
    4. Stripe Self-Service Management
      • Users can cancel anytime through their Stripe account (no written notice required).
      • Cancellation stops future charges, but no refunds are issued for the current billing cycle.
  5. Cancellations, Refunds, and Termination
    1. Cancellation Policy
      • Users can cancel anytime via Stripe—no written notice is required.
      • Cancellation will take effect at the end of the billing cycle (you retain access until then).
    2. Refund Policy
      • Monthly Plans: Non-refundable after billing.
      • Annual Plans:
      • Refundable within 30 days, but usage is charged at the full monthly rate before refunding the remaining amount.
      • After 30 days, no refunds are issued.
      • Users may downgrade to a monthly plan at the regular rate instead of cancelling.
      • Early Termination Fee: If an exceptional refund is granted after 30 days, a 30% early termination fee applies.
    3. Account Suspension & Termination
      • If a payment fails, Stripe will retry payment up to 3 times.
      • After repeated failed attempts, Managewise reserves the right to suspend access.
      • Accounts engaging in prohibited activities may be terminated without notice.
  6. Payroll Integration
    1. Third-Party Payroll Services
      • Managewise integrates with Xero, Sage, and other payroll providers.
    2. Payroll Processing
      • Payroll is calculated based on approved timesheets.
      • Formula: TOTAL HOURS WORKED + EXPENSES - BREAKS
      • Paid break subtraction settings can be customised under Business Settings → Timesheets.
    3. Liability Disclaimer
      • Managewise only facilitates payroll processing and is not responsible for incorrect salary payments due to user errors.
  7. Chat System and Data Retention
    1. Chat & Messaging Storage
      • Business chat messages are encrypted and stored securely.
      • Users can delete or archive messages, but data remains stored unless explicitly requested for deletion.
  8. Notification Management

      • Email Notifications

    Users can enable/disable notifications in their account settings.

  9. Data Collection and Privacy
    1. Personal Data Collection
      • Managewise collects names, emails, payment details, and location data as per our Privacy Policy.
      • Data is securely stored using Supabase and analysed via Google Analytics.
    2. AI & Data Processing (Wiser AI)
      • Our AI assistant, Wiser, is integrated with OpenAI and may process user data for automation.
      • Users can opt out of AI-powered automation via account settings.
  10. Limitation of Liability
    1. "As Is" Service Disclaimer
      • Managewise provides the platform "as is" and does not guarantee uninterrupted access.
    2. Liability Limits
      • Managewise is not liable for:
        • Service disruptions, data loss, or third-party failures.
        • Indirect, incidental, or consequential damages.
        • Any claims exceeding the total amount paid in the last 12 months.
  11. Third-Party Services and Integrations
    1. Integrated Services
      • Managewise integrates with Xero, BreatheHR, Clover, OpenAI, Google Analytics, and Vercel Analytics.
    2. Third-Party Terms Apply
      • Users must comply with third-party service terms.
      • Managewise is not responsible for third-party service availability or performance.
  12. Changes to the Terms
    1. Managewise reserves the right to update or change these terms at any time. Users will be notified of changes via email or in-app notifications. Continued use of the services after changes have been made constitutes acceptance of the new terms.
  13. Governing Law & Jurisdiction
    1. Legal Compliance
      • These terms are governed by the laws of the United Kingdom.
      • Disputes will be handled in UK courts.
