Subscription Agreement for Managewise Ltd

This Subscription Agreement (the "Agreement") is made between Managewise Ltd, a company registered in England with registration number 15842527, having its principal office located at 7 Bell Yard, London, WC2A 2JR (the "Company"), and the subscribing customer (the "Customer"). By subscribing to the Managewise services, the Customer agrees to the terms and conditions outlined below:

  1. Services Provided

    The Company will provide access to its CRM software platform ("Services"), which includes managing leads, timesheets, communication, surveys, and logistics management. Additional features may be introduced and offered under separate terms.
  2. Subscription Fees

    The Customer agrees to pay the subscription fees in accordance with the pricing plan selected at the time of subscription. Subscription fees will be billed on a monthly/annual basis, depending on the selected plan, and are due in full upon receipt of the invoice.
  3. Late Payment

    If payment is not received within 30 days from the invoice date, the Company reserves the right to suspend or terminate the Customer’s access to the Services until all outstanding payments are received. Reinstatement of Services may be subject to additional fees.
  4. Changes or Cancellations

    The Customer may change or cancel their subscription by providing written notice to the Company at least 30 days before the next billing cycle. Failure to provide such notice will result in the continuation of the subscription for the next billing cycle.
  5. Term and Termination

    This Agreement will remain in effect until terminated by either party in accordance with the terms outlined herein. The Company reserves the right to terminate this Agreement for breach of the terms or failure to pay the subscription fees.
  6. Data Privacy

    The Company will handle Customer data in accordance with its Privacy Policy, which complies with applicable data protection laws. The Customer retains ownership of their data and can request its deletion at any time, in compliance with legal requirements.
  7. Governing Law

    This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under this Agreement will be subject to the exclusive jurisdiction of the courts of England.
