Subscription Agreement for Managewise Ltd

- Services Provided
- The Company will provide access to its business platform (the "Services"), which includes:
- Workforce and shift management
- Timesheet tracking and payroll integration
- Messaging, notifications, and reporting features
- Automation tools and AI assistance (where applicable)
- The Company may introduce additional features, which may be subject to separate terms or additional charges.
- The Company will provide access to its business platform (the "Services"), which includes:
- Subscription Fees, Free Trial & Billing
- Free Trial Period:
- New Customers receive a 14-day free trial to test the Services.
- No payment is charged during the trial.
- If the Customer does not cancel before the trial ends, the first payment will be processed automatically on Day 15.
- Subscription Billing:
- Monthly Plans: Billed in advance every month.
- Annual Plans: Billed upfront for 12 months at a discounted rate.
- Stripe Auto-Payments:
- Payments are processed automatically via Stripe on the billing date.
- The Customer must ensure sufficient funds to avoid failed transactions.
- All fees are non-refundable, except as outlined in the Refund & Cancellation Policy (Section 4).
- Free Trial Period:
- Late Payment & Account Suspension
- If a payment fails, Stripe will attempt to charge again within a set retry period.
- If payment is still not received after retries, the Company reserves the right to:
- Suspend account access until payment is made.
- Cancel the subscription automatically after a set period of non-payment.
- Reinstatement Fees:
- If the Customer’s account is suspended due to failed payments, reinstatement may require paying any outstanding balance before reactivating access.
- Refund & Cancellation Policy
- Cancellation Process:
- Customers can cancel anytime through their Stripe account—no written notice is required.
- Once canceled, access remains active until the end of the current billing cycle.
- Refund Policy for Monthly Subscriptions:
- Monthly subscription fees are non-refundable once payment is processed.
- Cancellation stops future billing but does not entitle the Customer to a refund for the current month.
- Refund Policy for Annual Subscriptions:
- Annual subscriptions are non-refundable after 30 days.
- If a Customer cancels within the first 30 days, they are charged at the full monthly rate for usage, and the remaining balance is refunded.
- After 30 days, no refunds are provided.
- Customers may switch to a monthly plan at the regular (non-discounted) rate if they wish to downgrade.
- Early Termination Fee (If Applicable):
- If the Company grants a refund exception for an annual plan cancellation after 30 days, a 30% early termination fee will be deducted from the refundable amount.
- Cancellation Process:

- This Agreement remains in effect until terminated by either party in accordance with its terms.
- The Company reserves the right to terminate this Agreement if:
- The Customer fails to pay subscription fees.
- The Customer violates the terms of use or engages in activities that harm the platform.
- Upon termination, the Customer’s access to the platform will be revoked, and data retention will be subject to the Privacy Policy.
- Data Privacy
- The Company will handle Customer data in accordance with its Privacy Policy, which complies with applicable UK GDPR and Data Protection laws.
- The Customer retains ownership of their data and can request deletion at any time, subject to legal and regulatory compliance requirements.
- Data Backups & Retention:
- Upon subscription cancellation, Customer data may be retained for up to 6 months before deletion.
- Customers may request an immediate data deletion in writing.
- Limitation of Liability
- The Company provides the Services "as is" and does not guarantee uninterrupted access or error-free operation.
- The Company is not liable for:
- System failures, data loss, or third-party service disruptions.
- Indirect, incidental, or consequential damages resulting from service use.
- Any claims exceeding the amount paid by the Customer in the preceding 12 months.
- Third-Party Services & Integrations
- Managewise integrates with third-party services, including but not limited to:
- Xero, Sage, Clover (for payroll and accounting)
- BreatheHR, OpenAI, Google Analytics, Vercel Analytics
- By using the platform, the Customer agrees to the terms of these third-party services.
- The Company is not responsible for the availability or performance of third-party services.
- Managewise integrates with third-party services, including but not limited to:
- Governing Law & Jurisdiction
- This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
- Any legal disputes will be handled in the jurisdiction of UK courts.

This Subscription Agreement (the "Agreement") is made between Managewise Ltd, a company registered in England with registration number 15842527, having its principal office located at 7 Bell Yard, London, WC2A 2JR (the "Company"), and the subscribing customer (the "Customer"). By subscribing to the Managewise services, the Customer agrees to the terms and conditions outlined below:
